Terms of Service

CodeSynapse is designed to help engineering teams maintain accurate technical documentation by analyzing source code and documentation and identifying potential documentation drift.

Depending on the configuration and features available, CodeSynapse may:

• Connect to supported source-code repositories
• Connect to documentation and collaboration platforms
• Analyze source code and documentation
• Extract technical facts from source code
• Compare documentation against available code evidence
• Identify potential documentation drift
• Generate proposed documentation corrections
• Provide evidence supporting proposed corrections
• Facilitate human review and approval
• Create pull requests or other proposed changes
• Apply approved changes through supported integrations

Scalex may add, modify, improve, suspend, or discontinue features of the Service from time to time.

CodeSynapse is a software productivity and documentation assistance tool. It does not replace engineering judgment, code review, security review, compliance review, or other professional review.

You may use CodeSynapse only if:

• You are legally capable of entering into a binding agreement
• You are authorized to access and use the repositories, documentation systems, and other resources connected to CodeSynapse
• You have authority to accept these Terms on behalf of the Customer, where applicable
• Your use of CodeSynapse complies with applicable laws and regulations

Certain CodeSynapse features require an account.

You are responsible for:

• Providing accurate and current account information
• Maintaining the confidentiality of your account credentials
• Protecting authentication credentials, tokens, and access keys
• Restricting account access to authorized individuals
• Ensuring that users accessing the account are authorized to do so
• Promptly notifying Scalex of any suspected unauthorized access or security incident involving your account

You are responsible for activity conducted through your account except to the extent directly caused by Scalex's breach of its obligations.

“Authorized Users” means employees, contractors, consultants, or other individuals authorized by the Customer to access and use CodeSynapse.

The Customer is responsible for:

• Managing Authorized Users
• Ensuring that Authorized Users comply with these Terms
• Ensuring that Authorized Users have appropriate permissions
• Removing access when an individual no longer requires access
• Maintaining appropriate access controls

The Customer is responsible for activities performed by its Authorized Users.

CodeSynapse may integrate with third-party services, including GitHub, GitLab, Bitbucket, Azure DevOps, Jira, Notion, Confluence, and other repository, documentation, development, or collaboration platforms supported by CodeSynapse from time to time.

To use an integration, you may be required to authorize CodeSynapse to access the relevant third-party service.

By connecting a third-party service, you authorize CodeSynapse to access and process information according to the permissions, OAuth scopes, API credentials, installation permissions, or other authorization mechanisms granted by you or the Customer.

You represent and warrant that you have the necessary rights and authority to provide such access.

You are responsible for reviewing and configuring the permissions granted to CodeSynapse.

Third-party services are governed by their own terms and privacy policies. Scalex does not control and is not responsible for third-party services, including their availability, security, functionality, policies, or changes to their APIs or permissions.

“Customer Content” means source code, documentation, repository information, technical information, files, configuration information, text, data, and other content that a Customer or its Authorized Users make available to, submit to, or authorize CodeSynapse to access.

The Customer retains all rights, title, and interest in its Customer Content.

Nothing in these Terms transfers ownership of Customer Content to Scalex.

The Customer grants Scalex a limited, non-exclusive, worldwide right to access, copy, process, transmit, store, and otherwise use Customer Content only to the extent necessary to:

• Provide CodeSynapse
• Perform requested analyses
• Detect documentation drift
• Extract technical facts
• Generate proposed documentation updates
• Provide evidence supporting proposed changes
• Apply changes approved by the Customer
• Provide customer support
• Maintain and secure the Service
• Prevent fraud, abuse, or security incidents
• Comply with applicable law
• Perform other activities expressly authorized by the Customer

The Customer represents and warrants that it has all rights, permissions, licenses, consents, and authorizations necessary for Scalex to access and process Customer Content as contemplated by these Terms.

The Customer is responsible for:

• The legality of Customer Content
• The accuracy of information provided to CodeSynapse
• Obtaining any required permissions, notices, and consents
• Ensuring that connected repositories and documentation systems may lawfully be accessed
• Ensuring that its use of CodeSynapse does not violate third-party rights
• Configuring repository and integration permissions appropriately
• Determining what information should be made available to CodeSynapse

Customers should not place passwords, private keys, API secrets, authentication credentials, or other sensitive credentials into Customer Content unless such information is specifically required for an authorized use of the Service.

Scalex recognizes that source code, technical architecture, documentation, configuration information, and related engineering information may constitute confidential or proprietary information of the Customer.

Scalex will use Customer Content only as permitted by these Terms and the CodeSynapse Privacy Policy.

Scalex will not sell Customer Content.

Scalex will not use Customer Content to train general-purpose artificial intelligence models unless expressly agreed with the Customer in writing.

Confidentiality obligations relating to Customer Content will continue after termination of the Customer's use of CodeSynapse for so long as the information remains confidential, subject to applicable law and contractual obligations.

Core AI Functionality

CodeSynapse may use artificial intelligence and machine-learning technologies to assist with documentation analysis, documentation drift detection, evidence generation, and proposed documentation updates.

CodeSynapse is designed to minimize the amount of Customer Content provided to AI models. Depending on the requested functionality, AI processing may involve limited extracted technical facts and specific documentation content or context required for the analysis.

No Model Training

Customer Content will not be used to train, fine-tune, or improve any artificial intelligence or machine learning models — whether general-purpose, domain-specific, or proprietary Scalex models — unless expressly agreed with the Customer in writing.

Third-Party AI Providers & Zero Retention

Where third-party AI or machine-learning providers are used, limited information may be processed by such providers solely as necessary to provide the relevant CodeSynapse functionality. Scalex ensures that such third-party providers operate under strict confidentiality and data-processing requirements, including “zero-data retention” agreements that prohibit them from storing Customer Content or using it to train their own respective models.

Ownership of Output

As between Scalex and the Customer, the Customer retains all rights, title, and ownership interest in and to any documentation updates, proposed changes, or other direct outputs generated by the CodeSynapse AI features that are derived from Customer Content.

Accuracy and Mandatory Human Review

AI-generated or AI-assisted output may contain errors, omissions, or inaccurate conclusions. The Customer acknowledges that AI output should be reviewed by an appropriately qualified person before being relied upon or applied.

CodeSynapse identifies potential differences between documentation and available code evidence.

The Customer acknowledges that:

• CodeSynapse may not identify every documentation discrepancy
• A detected discrepancy may not always represent an actual error
• CodeSynapse may not have sufficient business or organizational context
• Documentation may differ from current implementation
• Source code itself may contain errors or outdated information
• Third-party systems may provide incomplete or inaccurate information
• CodeSynapse cannot guarantee that every proposed correction is appropriate

Accordingly, CodeSynapse findings and proposed corrections must be reviewed by the Customer before being relied upon or applied.

CodeSynapse is designed with human review and approval before documentation changes are applied.

The identification of documentation drift or generation of a proposed correction does not by itself modify Customer Content.

Where supported, an authorized Customer user may review and approve a proposed change before it is applied.

Depending on the integration, an approved change may be:

• Submitted as a pull request
• Applied to a documentation page or block
• Written to a supported repository or documentation platform
• Applied through another supported integration mechanism

CodeSynapse does not automatically apply documentation changes without the required Customer approval.

Customers remain responsible for reviewing and approving proposed changes and for determining whether an approved change is accurate and appropriate for their systems and documentation.

Scalex will maintain reasonable technical and organizational measures designed to protect the Service and Customer Content against unauthorized access, use, alteration, disclosure, loss, or destruction.

Depending on the CodeSynapse environment and configuration, these measures may include:

• Access controls
• Authentication and authorization controls
• Least-privilege access
• Encryption in transit
• Encryption at rest where applicable
• Credential protection
• Logging and monitoring
• Backup and recovery controls
• Security incident procedures
• Secure software development practices

However, no software, cloud service, network, or method of electronic transmission or storage can guarantee absolute security.

The Customer remains responsible for security controls within its own environment, including repository permissions, identity management, credentials, endpoints, and third-party integrations.

Scalex's collection, use, storage, and disclosure of personal information in connection with CodeSynapse are described in the CodeSynapse Privacy Policy.

Where Scalex processes personal information on behalf of a Customer, Scalex will process such information in accordance with applicable privacy laws and the Customer's documented instructions, subject to these Terms and any other applicable written agreement between Scalex and the Customer.

Nothing in these Terms limits any rights or obligations that cannot lawfully be excluded or limited under applicable privacy or data-protection laws.

Customer Content will be retained for the period reasonably necessary to provide CodeSynapse and as otherwise communicated to the Customer or required by applicable law.

When a Customer disconnects a repository or terminates its use of CodeSynapse, Customer Content will be handled in accordance with applicable retention and deletion procedures.

Scalex may retain limited information where reasonably necessary to:

• Comply with legal obligations
• Resolve disputes
• Enforce contractual rights
• Prevent fraud or abuse
• Maintain security records
• Maintain required business records
• Protect the rights, safety, and security of Scalex, Customers, users, or third parties

Backup copies may remain for a limited period as part of normal backup and disaster-recovery procedures before being overwritten or securely deleted.

CodeSynapse and its underlying technology, including its software, architecture, interfaces, algorithms, workflows, designs, documentation, trademarks, service marks, and other intellectual property, are owned by or licensed to Scalex.

Except for the limited rights expressly granted under these Terms, no rights in CodeSynapse are transferred to the Customer.

Scalex grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use CodeSynapse during the applicable subscription or engagement period solely for the Customer's internal business purposes.

The Customer may not:

• Copy CodeSynapse except as expressly permitted
• Modify or create derivative works of CodeSynapse
• Sell, resell, sublicense, lease, rent, or distribute CodeSynapse
• Reverse engineer, decompile, or disassemble CodeSynapse, except to the extent such restriction is prohibited by applicable law
• Attempt to extract source code or proprietary technology from CodeSynapse
• Remove proprietary notices
• Use CodeSynapse to develop a competing service by improperly exploiting Scalex's confidential or proprietary information

If the Customer or its Authorized Users provide suggestions, recommendations, ideas, comments, or other feedback concerning CodeSynapse (“Feedback”), Scalex may use and incorporate such Feedback without restriction or obligation to the Customer.

Feedback does not include Customer Content or confidential information.

Scalex will not publicly identify the Customer as the source of Feedback without the Customer's consent unless otherwise permitted by applicable law.

Scalex may collect and use technical information relating to the operation, performance, reliability, and use of CodeSynapse.

Scalex may use aggregated or de-identified information to:

• Improve CodeSynapse
• Monitor system performance
• Identify trends
• Develop new features
• Improve security
• Conduct product analytics
• Improve the reliability and functionality of the Service

Such information will not be used to publicly identify the Customer or disclose Customer Content.

Scalex may collect technical and usage information relating to the Customer's use of CodeSynapse, such as service activity, feature usage, system performance, error information, integration activity, and diagnostic information (“Usage Data”). Usage Data does not include the substantive contents of Customer Content and will be used to operate, secure, maintain, troubleshoot, measure, and improve CodeSynapse. Scalex may use Usage Data in aggregated or de-identified form for analytics, product improvement, and other legitimate business purposes.

You must not use CodeSynapse to:

• Violate any applicable law or regulation
• Access a repository, documentation system, account, or other system without authorization
• Infringe intellectual-property, privacy, confidentiality, or other rights of another person
• Upload or transmit malware, malicious code, ransomware, or other harmful software
• Attempt to bypass or defeat security controls
• Attempt unauthorized access to CodeSynapse or Scalex infrastructure
• Conduct penetration testing or security attacks against the Service without Scalex's prior written authorization
• Interfere with the availability, performance, or operation of CodeSynapse
• Circumvent usage limits, access restrictions, or security mechanisms
• Facilitate unlawful activity
• Process information that you do not have the legal right to process
• Reverse engineer or attempt to extract proprietary technology from CodeSynapse
• Use automated means to access CodeSynapse except through functionality expressly provided by Scalex
• Introduce malicious or excessive workloads intended to impair the Service
• Develop or train a competing product by extracting or exploiting Scalex's proprietary technology or confidential information
• Act in any manner that could reasonably damage Scalex, CodeSynapse, other Customers, or third parties

Scalex may investigate suspected violations of this section and may suspend or restrict access where reasonably necessary to protect the Service, users, Customers, or third parties.

CodeSynapse may depend upon or integrate with third-party services, including repository providers, documentation platforms, cloud infrastructure providers, AI providers, authentication providers, analytics services, communication providers, and payment processors.

Third-party services may have their own terms, privacy policies, service limitations, and security practices.

Scalex does not control third-party services and is not responsible for:

• Third-party outages
• Changes to third-party APIs
• Changes to third-party pricing
• Changes to third-party terms
• Third-party security incidents
• Loss of third-party functionality
• Third-party decisions to suspend or terminate access

Where a third-party service becomes unavailable or materially changes its functionality, Scalex may modify or discontinue the affected CodeSynapse functionality.

Scalex may provide free trials, demonstrations, proof-of-concept environments, or evaluation access.

Unless otherwise agreed in writing:

• Trial access is provided for evaluation purposes
• Trial functionality may be limited
• Trial usage may be subject to limits
• Scalex may modify or terminate a trial program
• Trial environments may not include production-level service commitments
• Customer Content used during a trial remains subject to these Terms and applicable privacy provisions

Customers should not use trial environments for critical production workloads unless expressly authorized by Scalex.

Where CodeSynapse is provided for a fee, pricing and commercial terms will be specified in an applicable proposal, quotation, subscription confirmation, statement of work, invoice, or other written commercial agreement.

Unless otherwise specified:

• Fees are payable according to the applicable billing terms
• Fees are exclusive of applicable taxes
• The Customer is responsible for applicable taxes other than taxes based on Scalex's income
• Fees are non-refundable except where expressly agreed or required by applicable law
• The Customer must provide accurate billing information
• Scalex may suspend the Service for materially overdue undisputed amounts after providing reasonable notice

Scalex may modify pricing for future subscription periods by providing reasonable advance notice.

Price changes will not affect an already-paid subscription period unless otherwise agreed.

Scalex will use commercially reasonable efforts to keep CodeSynapse available.

Unless expressly agreed otherwise in writing, CodeSynapse is not provided with a guaranteed uptime commitment.

Availability may be affected by:

• Scheduled maintenance
• Emergency maintenance
• Infrastructure failures
• Third-party service failures
• Internet or telecommunications failures
• Security incidents
• Force majeure events
• Other circumstances outside Scalex's reasonable control

Scalex may modify, enhance, replace, or discontinue features of CodeSynapse from time to time.

Such changes may include new features, modified functionality, new integrations, changes to supported programming languages, changes to supported third-party platforms, and changes to user interfaces and workflows.

Scalex will use reasonable efforts to avoid materially reducing the core functionality of a paid Service during an active subscription period. This does not restrict changes required for security, legal compliance, third-party dependencies, technological requirements, or other reasonable operational purposes.

Each party may receive confidential information belonging to the other party in connection with CodeSynapse.

The receiving party agrees to:

• Use confidential information only for purposes related to the business relationship
• Protect confidential information using reasonable safeguards
• Disclose confidential information only to employees, contractors, professional advisers, or service providers who need to know it and are subject to appropriate confidentiality obligations
• Comply with applicable law relating to disclosure

Confidential information does not include information that:

• Is publicly available without breach of these Terms
• Was lawfully known to the receiving party before disclosure
• Is independently developed without use of the confidential information
• Is lawfully received from a third party without confidentiality restrictions

If disclosure is required by law or legal process, the receiving party may disclose the required information and, where legally permitted, will provide reasonable notice to the other party.

To the maximum extent permitted by applicable law, the Customer agrees to defend, indemnify, and hold harmless Scalex and its officers, employees, affiliates, representatives, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from or relating to:

• Customer Content that infringes or allegedly infringes a third party's rights
• The Customer's unauthorized use of CodeSynapse
• The Customer's violation of these Terms
• The Customer's violation of applicable law
• Unauthorized access resulting from the Customer's failure to maintain appropriate account or integration security
• The Customer's misuse of third-party integrations

Scalex will provide reasonable notice of any indemnified claim and reasonable cooperation at the Customer's expense.

The Customer may not settle an indemnified claim in a manner that admits liability by Scalex or imposes obligations on Scalex without Scalex's prior written consent.

To the maximum extent permitted by applicable law, CodeSynapse is provided on an “as is” and “as available” basis.

Scalex does not warrant that:

• CodeSynapse will always be available
• The Service will operate without interruption or error
• Documentation drift detection will identify every discrepancy
• Every detected discrepancy will represent a genuine documentation error
• AI-generated output will always be accurate, complete, or current
• Proposed documentation changes will always be appropriate
• Third-party integrations will always function
• The Service will satisfy every Customer requirement
• The Service will be free from all defects or vulnerabilities
• Information obtained from third-party services will always be accurate or complete

To the maximum extent permitted by applicable law, Scalex disclaims all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Nothing in these Terms excludes or limits warranties or rights that cannot legally be excluded.

The Customer acknowledges that CodeSynapse may generate automated or AI-assisted recommendations.

Before applying, publishing, or relying upon any proposed documentation change, the Customer is responsible for determining whether the proposed change is accurate, complete, appropriate, and suitable for its intended use.

This responsibility is particularly important where documentation relates to production systems, security, compliance, financial systems, healthcare systems, regulatory requirements, safety-critical environments, legal requirements, or other high-impact operations.

The Customer remains responsible for its systems, software, documentation, configurations, and business decisions.

To the maximum extent permitted by applicable law, Scalex will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, anticipated savings, data, or business interruption arising from or relating to CodeSynapse or these Terms.

To the maximum extent permitted by applicable law, Scalex's aggregate liability arising out of or relating to CodeSynapse, the Service, or these Terms will not exceed the fees actually paid by the Customer to Scalex for CodeSynapse during the twelve (12) months immediately preceding the event giving rise to the claim.

The limitations in this section do not apply to liability that cannot legally be limited or excluded under applicable law.

Scalex may temporarily suspend or restrict access to CodeSynapse where reasonably necessary to:

• Protect the security of the Service
• Prevent unauthorized access
• Prevent abuse or malicious activity
• Address a material violation of these Terms
• Comply with legal requirements
• Protect other Customers or third parties
• Address a material security threat
• Address materially overdue undisputed fees after reasonable notice

Where reasonably practicable, Scalex will provide notice before suspension and will restore access once the relevant issue has been resolved.

Emergency suspension may occur without prior notice where necessary to protect the Service, Customers, users, or third parties.

The Customer may terminate its CodeSynapse subscription in accordance with the applicable commercial terms.

Scalex may terminate or suspend access where:

• The Customer materially breaches these Terms and fails to remedy the breach within a reasonable period after notice
• The Customer engages in unlawful or abusive activity
• Continued access creates a material security risk
• The Customer becomes insolvent or ceases business operations, subject to applicable law
• Termination is otherwise permitted under the applicable commercial terms

Upon termination, the Customer's right to access CodeSynapse will cease; Customer Content will be handled according to applicable retention and deletion procedures; outstanding payment obligations will remain due; and provisions that by their nature should survive termination will continue to apply.

The following provisions will survive termination to the extent applicable:

• Customer Content ownership
• Intellectual property rights
• Confidentiality
• Fees and payment obligations
• Indemnification
• Disclaimer of warranties
• Limitation of liability
• Dispute resolution
• Governing law
• Other provisions intended by their nature to survive termination

Each party will comply with laws applicable to its obligations under these Terms.

The Customer is responsible for determining whether its particular use of CodeSynapse is permitted under laws and regulations applicable to its business, industry, customers, employees, and data.

CodeSynapse is not intended to provide legal, regulatory, accounting, financial, medical, or other professional advice.

The Customer agrees not to use CodeSynapse in violation of applicable export-control, trade-sanction, or similar laws.

The Customer will not use CodeSynapse for activities prohibited by applicable sanctions or export-control requirements.

Neither party will be liable for failure or delay in performing its obligations, except payment obligations, to the extent caused by circumstances beyond its reasonable control.

Such circumstances may include:

• Natural disasters
• War
• Terrorism
• Civil unrest
• Government actions
• Internet or telecommunications failures
• Widespread infrastructure failures
• Cybersecurity events affecting critical infrastructure
• Epidemics or pandemics
• Labor disputes
• Failures of third-party infrastructure

The affected party will use reasonable efforts to mitigate the impact of the event.

These Terms will be governed by the laws of India, without regard to conflict-of-law principles.

Subject to applicable law, courts having jurisdiction in Pune, Maharashtra, India will have jurisdiction over disputes arising from these Terms.

The parties will first attempt in good faith to resolve any dispute through discussions between authorized representatives.

If the dispute cannot be resolved through such discussions, the parties may pursue the remedies available under applicable law.

Notices relating to CodeSynapse may be provided through email, the CodeSynapse application, the Customer's registered account, or other reasonable electronic means.

Legal notices to Scalex should be sent using the contact information provided at the end of these Terms.

Scalex may update these Terms from time to time to reflect changes to CodeSynapse, changes to our business, changes in applicable law, changes in security practices, or changes in third-party services.

We will post updated Terms on the CodeSynapse website and update the Effective Date.

Where changes are material and applicable law requires notice, we will provide reasonable notice.

Continued use of CodeSynapse after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.

The Customer may not assign or transfer its rights or obligations under these Terms without Scalex's prior written consent, except in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets where the successor agrees to be bound by these Terms.

Scalex may assign these Terms to an affiliate or successor in connection with a merger, acquisition, restructuring, financing, corporate reorganization, or sale of all or substantially all of the relevant business or assets.

The parties are independent contractors.

Nothing in these Terms creates a partnership, joint venture, agency, fiduciary relationship, employment relationship, or franchise relationship between the parties.

Failure by either party to enforce any provision of these Terms does not constitute a waiver of that provision or the right to enforce it later.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

These Terms and any applicable written commercial terms expressly accepted by the Customer constitute the agreement governing the Customer's use of CodeSynapse.

If a written commercial agreement expressly accepted by both parties conflicts with these Terms, the specific provision in that written commercial agreement will control to the extent of the conflict.
